Thank you for visiting AIdord, an Internet property owned by Ethertide Limited. By accessing the Site, downloading any Content, registering for the Newsletter and Activity Material or purchasing a Membership, you agree to the Site Offerings Terms of Use.
The Website Privacy Policy for (“Privacy Policy”) and any applicable operating rules, policies and other supplemental Terms of Use or documents that may be published from time to time are hereby incorporated into this Agreement. All of these documents form a unified whole that is binding on all parties.

Membership:the agreement between the User and AIdord to provide access to the Services for a period of time.
Payment Method:the credit card, debit card, PayPal account, or other payment method that the User uses to pay for their Membership.

Site Offerings: the Site, Services.

User: the person who registers for a Membership and provides their Payment Method information.

Agreement
You meet the minimum age requirement (18 years), you inhabit in one of the countries AIdord is operating and you are legally able to enter into binding contracts, as per applicable law. This Agreement is the sole and complete understanding between you and AIdord about your use of the Site Offerings. Any offers or products made available to you on the Site that enhance or complement the current features of the Site Offerings will be subject to this Agreement, unless stated otherwise. AIdord is not responsible if you are unable to use the Site Offerings.
This Agreement may be revised or modified at any time without prior notification to you. Any disputes that occurred before the amendment of the Dispute Resolution Provisions, or charges incurred before the amendment of the Billing Provisions, will still be managed according to the Dispute Resolution Provisions and Billing Provisions in place at that time. By using AIdord Services, you also acknowledge that you have read the Privacy Statement.

Registration
In order to use certain Site Offerings, you may need to fill out a registration form (the “Form”). It will ask for information such as:
- Your name
- Mailing/billing address
- Email address
- Phone number
- Credit card details (if buying Merchandise and/or Membership)
- Any other information AIdord requests
By registering on AIdord you agree to keep the information related to your security of the service confidential, to be responsible for all the consequences resulting from the use of your account and to pay your invoice every month until your subscription is terminated or cancelled.
Your Registration Data must be accurate, current, and complete in order for us to keep it up to date. You can at any time change your address, user details and update your payment methods via “My Account”. AIdord will consider the person or entity who has access to the email address as the owner of the Membership AIdord retains the right to reject and/or terminate your Registration at any time for any reason, such as if AIdord believes you have breached the Agreement, are engaging in improper conduct, or are conducting unauthorised commercial activity.

Invoicing
Upon registering for a Membership to the AIdord, the payment method you provided or updated later will be automatically charged for the fees mentioned above. The date of the payments depends on the plan you will choose as also mentioned above. There is no obligation to stay - you can cancel your membership at any time. All fees will be paid in advance of the services being provided. You agree that AIdord can charge your Payment Method without additional authorization.
Once AIdord has received your order, the services purchased will be available to you, according to the applicable terms. A confirmation email of your order with the description of the billing will be sent to the email you stated upon signing up for the subscription. If you have any queries regarding the delivery of your order, contact us at [email protected]. Ethertide Limited reserves the right to issue digital or physical invoices and to work with a third-party factoring company if credit card payment is not made. All communication will be electronic or over the phone.

Trial Period
By signing up for a membership through one of AIdord campaigns, you give permission to AIdord to deduct the trial period fee and then the complete recurring fee from the credit card you used upon continuing the service. When purchasing the trial subscription, you will not be charged for any undisclosed fees, just the amount mentioned in the campaigns. Your membership will be renewed automatically after the trial period and the date of the renewal depends on the plan you will choose. You can choose if the payment of the aforementioned fee will be conducted on your local price according to the “Pricing by country” list above or to the local currency of Republic of Ireland. You understand and accept that AIdord will not require any additional authorization from you for this recurrent payment. Every time you use the Membership, you confirm that AIdord has the right to charge your Payment Method and to apply the charges to the same.

Payment Methods
All payments are made in your local currency through SSL encrypted connection with maximum safety. You can also proceed with the payment in the local currency of Republic of Ireland. You acknowledge and agree that any card and related billing and payment information that you provide are not stolen and will be shared with a third-party partner (Payment processor and/or Acquirer). The processing of payment by other Payment Providers shall be governed by such Payment Provider’s terms of service and AIdord is not responsible in any way for your relationship with any such Payment Providers or for the actions of any of these Payment Providers.
We reserve the right, at our sole discretion, to offer a discount on a subscription payment period without prior notification.
Accepted Cards: Visa and MasterCard.
In the event of failure on the collection of the Fees owed by you, you authorize AIdord to retry and collect at a later time and AIdord may in its sole discretion suspend or cancel your subscription without further notice. If a payment is not successfully settled due to expiration, insufficient funds or otherwise, and you do not cancel your subscription, you remain responsible for the uncollected amounts and AIdord may suspend your access to the services until the successfully charged of a valid Payment Method.
Billing Cycle: The Membership fee will be automatically deducted from your chosen Payment Method on the specific payment date mentioned in the reminder email. The duration of your billing cycle will vary depending on the subscription type you selected when signing up for the service. Your payment date may change if your payment method has not successfully settled or if you change your subscription plan. We have the sole discretion to provide a discount on a subscription payment plan without giving any prior notice.
AIdord will notify you by a reminder email with the date and time of the expiration of the trial period, the invoice of your purchase and these terms of use, 7 days before your trial period expires, or immediately after the purchase, if the trial period is shorter than 7 days.
You acknowledge that you are responsible to ensure that your email can receive the confirmation and reminder emails. AIdord is not responsible for any such failure and you are advised to provide an email service other than hotmail and gmail as those services may have issues regarding emails sent by AIdord. If you have not received the emails, you may contact the Customer Support Centre.

Cancellation of Membership, Refunds and General Invoicing Provisions
If you are not happy with your purchase, you can immediately end your Membership with AIdordat any time by clicking (“Cancel Subscription”) and following the available instructions or by contacting the customer’s support centre through email/phone. Your account will remain active until the next billing cycle..
AIdordoffers a 100% refund if it is requested within 14 days of your purchase. No refunds will be given for Membership fees already paid. All Membership fees are non-refundable and will be shown on your Payment Method statement under the specified identifier. Exceptions can be made on a case-by-case basis with the decision of the customer’s support team.
AIdordreserves the right to change their Billing Provisions at any time by posting the new fees on its Service. If you decide to continue using the Site or purchase a Membership after receiving the notice, you agree to be bound by the changes. By signing up with AIdordand providing your Payment Method information, you are authorizing AIdordto provide the Merchandise and bill you for it.

Termination
AIdordreserves the right to terminate your access to its services at any time without prior notice if you violate any clause of this Agreement. Your access may also be terminated on the same terms due to failure of fulfillment of payment obligations, usage of the service that may pose a risk to AIdordor other users, engagement in illegal activities unethical actions that could harm AIdordor other users, suspected fraudulent account activity and participation in any other unacceptable behaviour described on the site and/or governing by the law.Upon termination, you acknowledge that AIdordshall not refund any previously paid fees and you are obliged to pay any remaining charges prior to your termination.

Loss of Data, Content, and Capacity
If your Membership is canceled or terminated, the user account, data in the normal course of operation and content will be deleted and cannot be recovered.
The clauses of this Agreement relating to the protection and enforcement of AIdordintellectual property, disclaimer of warranties, indemnification, limitation and governing law will remain valid after the cancelation or termination.

General Membership Terms
Membership to the AIdordwebsite grants you access to various content, such as interactive content, text, audio, video, photographs, graphics, artwork and more (collectively referred to as “AIdordContent”). AIdordis solely responsible for the accuracy, completeness, appropriateness and usefulness of this content. AIdorddoes not guarantee that all content posted by and through the website is accurate, and does not take any responsibility to monitor or police such content. You agree to release AIdordfrom any liability in connection with any dispute between you and AIdord.

User License
As a user of the Site, you are granted a non-exclusive, non-transferable, revocable and limited license to access and use the Site Offerings. This license can be terminated by AIdordat any time and for any reason. Unless given express permission by AIdord, you may only use the Site Offerings for personal, non-commercial purposes. .
You agree and undertake not to:
- reproduce, modify, download, adapt, rent, lease, sell, emulate, clone, decompile, disassemble, reverse engineer, or transfer any part of the Site Offerings.
- create any derivative works by altering any aspect of the Site Offerings or use the Site Offerings in conjunction with any other third-party content. Commercial use of the Site Offerings is not permitted without express permission from AIdord.
- upload, submit or display any content or use licensed content in a manner which may be deemed as malicious, unlawful, defamatory, hateful, libelous, obscene, harassing, threatening, provocative, abusive, racist, offensive, deceptive or fraudulent, encouraging criminal or harmful conduct, or which otherwise violates any law or infringes upon the rights of AIdordor any third party (including any intellectual property right, privacy rights, copyright, trademark, contractual or fiduciary rights), or otherwise shows any person, entity or brand in a bad disparaging light, without their prior explicit approval.
- use any illegal action to collect data, passwords for other websites, third parties or services.
- phish, upload or otherwise make available financial data used for collecting payments.
- use any “robot” or other automatic device or algorithm to access, copy or monitor the AIdordservices, including data and content, or reproduce the navigational structure of the services.
- act in a way which might harm AIdordreputation and goodwill or expose AIdordor tis users to any harm or liability of any kind, violate others user’s right to privacy or any other rights, collect personally identifiable information about users without their consent.
- purchase search engine or other pay per click keywords or domain names that AIdord use.
- use any of the AIdordservices in a form of spam, unsolicited, fraud, scam, pyramid scheme or otherwise engage in unethical marketing or advertising.
- access to AIdordservices through any means of technology other than AIdordpublicly supported interfaces or test the vulnerability of the AIdordservices or network.
- impersonate directly or indirectly any person or entity or provide AIdordwith false information or otherwise engage with any form of manipulation to disguise your identity.
- disable or otherwise avoid any measures used to restrict access to AIdordservices.
- sell for any commercial purposes access to AIdordservices except as permitted.
- access or use the services in order to build a competitive product.
- remove or notify any copyright notices, restrictions and signs indicating proprietary rights.
- take any unreasonable actions that interfere the operation of AIdordservices.
- to indemnify and hold harmless AIdordfor any violations of this agreement.

Further, AIdorddoes not represent or warrant that the AIdordservices (or any part, feature or Content) are complete, accurate, of any certain quality, reliable or secure in any way, suitable for or compatible with any of your contemplated activities, devices, operating systems, browsers, software or tools (or that they will remain as such at any time), or comply with any laws applicable to you (including in any jurisdiction in which you operate), or that their operation will be free of any viruses, bugs or other harmful components or program limitation. AIdordis also not responsible for the availability of any underlying internet connection associated with the website offerings. And, AIdordshall not be held liable for any advice or information obtained from it or from the website offerings that does not explicitly state it is covered by a warranty in the Agreement. AIdordshall not be liable if you cannot access its services during periods of peak demand or due to malfunctions to the system for any reason.

Limitation of Liability
You understand and agree that AIdordshall not be liable for any damages resulting from your use of the Site Offerings or any other services offered by them. This includes, but is not limited to, losses of profits, goodwill, data, use of the service, business interruption, inaccurate results, cost of recovering any data, cost of claims by third parties for damages to electronic devices and software or other intangible losses. AIdordwill not be liable to you or any third party up to the fullest extent permitted by law. You and AIdordcannot bring any action more than one year after the event which caused the cause of action. The negation of damages is a fundamental element of the agreement between you and AIdord .

Proprietary Rights/Intellectual Property
The content provided by AIdordservice including graphics, text, design, images, artwork, audio, video, documents, digital conversion, copyrightable materials, methods, algorithm, data, inventions, trade secrets, logos, domains, trademark, tradename, title, software, services and other matters relating to them, are all subject to applicable intellectual property, right, copyrights and trademarks.
Viewing any content does not grant you any ownership rights and posting any information or material through the site offering does not mean that any such rights have been waived. All rights of AIdordor its licensors that are not expressly granted in this Agreement are reversed to AIdordand its licensors.

Opt-Outs
You are not able to opt out from transactional communication (billing and service messages) but you can opt out of receiving marketing and notification emails by clicking the “unsubscribe” link located at the bottom of the marketing messages or by contacting the Support Centre.

Dispute Resolution
The Agreement shall be treated as if it were signed and carried out in Republic of Ireland and shall be governed by and interpreted in accordance with the laws of Republic of Ireland (without regard to conflict of law principles). If you have submitted a complaint to AIdordbut you consider the answer to be unsatisfactory, you can submit a dispute for resolution via an arbitration Settlement Offer. The arbitration shall be conducted in Republic of Ireland by a single arbitrator. Unless specifically required by applicable law, each party will bear their own legal costs, regardless of who is deemed the winner in the arbitration. Even though AIdordmay have the right to an award of lawyers’ fees and expenses if they are successful in arbitrating, they will not seek this from you unless the arbitrator finds that your claim was frivolous.
Furthermore, to the extent allowed by law, you agree not to initiate, join or take part in any class action lawsuit related to any claim, dispute or controversy that you have against AIdordand/or its employees, officers, directors, members, representatives and/or assigns. You agree to the entry of an injunction to stop such a lawsuit or to remove you as a participant in the suit. You also agree to pay the legal fees and court costs incurred by AIdordin seeking such relief. This provision preventing you from initiating, joining or participating in class action lawsuits: (A) does not waive any of your rights or remedies to pursue a claim individually and not as a part of a class action in a binding arbitration as outlined above; and (B) is a separate agreement.

Notice for Claims of Copyright Violations
If you believe that your copyrighted work has been infringed, you can submit a copyright infringement notification by providing AIdordwith the following information in writing:
- telephone number, address, and email address
- signature of the copyright owner or an authorized representative acting on their behalf with a statement for the authorization
- description and details of the copyrighted work that you claim has been infringed and of where is located on the service.
- statement affirming that you have a good faith belief that there is no authorization by the law or the owner or its agent for the usage of the work and that the above information is accurate.

Anti-Money Laundering Policy
AIdordcomplies with the applicable anti-corruption, anti-bribery and anti-money laundry laws and you acknowledge to also comply to all applicable laws including, local and Federal laws, EU directives and legally binding regulations, UN Convention and any other applicable laws such as the EU’s AML Directives, the UK Bribery, Money Laundering, Terrorist Financing, Transfer of Funds Act and Canada’s Corruption of Foreign Public Officials Act.

Final Provisions
This Agreement sets out the terms and conditions that apply to the use of the AIdordSite Offerings. Using the Site Offerings means you agree to be bound by this Agreement. If you don't agree to all of the terms of this Agreement, you cannot use the Site Offerings. This Agreement takes precedence over any inconsistent or conflicting provisions related to the Site Offerings. AIdordinability to enforce any part of this Agreement does not mean AIdordcannot enforce it in the future. This Agreement does not create any agency or partnership between the parties. Any part of this Agreement that is found to be invalid or unenforceable shall not affect the validity and enforceability of the remaining provisions of the Agreement and it will be interpreted according to applicable law. AIdordcan assign its rights and obligations under this Agreement to any third party at any time without notice. The headings in this Agreement are for reference only and do not explain, limit, or define any section.

Force Majeure
Neither party shall be liable for any breach or termination of this agreement due to a force majeure event; an unforeseen event beyond the reasonable control of the parties which among others includes act of God, strikes, lockouts, pandemics, epidemics, war, floods and earthquakes. The affected party shall duly notify the other party and do its best effort to minimize the impact on its obligations. Both parties can terminate in writing this agreement without liability, if the force majeure event continues for more than 30 days.

Feedback and Suggestions
Any suggestions and feedbacks provided to AIdordare subject to AIdord’s Intellectual Property and you acknowledge that AIdordmay be used them for further development and improvement of the site offeringss, to enhance AIdorddata security and fraud prevention capabilities and to comply with any applicable laws.
